Real Estate

Our real estate practice is broadly based, and our attorneys have represented banks, insurance companies and other financial institutions, equity participants, developers and property owners, contractors, management companies, governmental entities, brokers, landlords and tenants, condominium and homeowners associations, and individuals in real estate law matters.

Our real estate practice includes acquisitions, dispositions, financings (representing both borrowers and lenders), entity formation, leasing, construction contracting, and workouts, restructurings, and foreclosures. Our attorneys have handled commercial real estate transactions involving mixed use residential/retail development; improved office properties, retail projects, shopping centers, hotels and industrial centers, as well as handling the sale, purchase, and leasing of private homes, farms and ranches, and small business locations.

We have also (i) assisted our developer/manager clients in the development of lease forms and leasing programs that allow the leasing agents, and their in-house staff, to respond to specific business issues with prepared contractual compromises that maintain the overall integrity of the lease document; (ii) represented property owners and prospective tenants in a wide range of leasing and management activities involving commercial office, industrial, retail, technology, and other special use space; (iii) have been actively involved with both developers and land owners in structuring and documenting ground lease transactions; (iv) have represented property owners, tenants and lenders in all types of reciprocal easement agreements, parking agreements and operating agreements through negotiations; (v) have prepared lease forms for use by landlord’s in commercial, multi-family residential, technology, and other special use projects, and (vi) have significant experience with workouts and restructurings of existing financings and projects.

We also have significant experience in the legal aspects of structuring partnerships, limited partnerships, joint ventures, corporations, trusts, and limited liability companies, with both domestic and foreign investors. Our tax lawyers are experienced in tax issues involved in the ownership, operation, and disposition of commercial real estate, including the structuring of so-called tax free exchanges; and our trial lawyers have extensive experience in litigating real estate disputes, including disputes involving purchase and sale contracts, broker contracts, loan foreclosures, lease disputes, eviction proceedings, property tax assessments and protests, construction disputes, and title and boundary disputes.
