Our business practice covers a wide range of services, from advising a client regarding the selection of the type of entity that will be appropriate for a start-up business to corporate governance and regulatory issues applicable to public companies. We have experience in representing our clients regarding:

  1. Formation of Business Entities. We regularly advise clients regarding the type of business entity that will best suit their needs, including corporations, limited liability companies, general partnerships, limited partnerships, registered limited liability partnerships, and business trusts. Once the decision as to the appropriate entity has been made, we prepare the necessary formation documents, provide counseling as to the meaning and effect, as well as alternatives to, provisions in that formation document, and arrange for the filing of any formation documents that are required to be filed.
  2. Governance. All companies face governance issues from time to time, and those issues become more complex as the company grows. We are experienced in representing both private and public companies regarding governance issues and requirements of applicable federal and state laws.
  3. Commercial Loans. We have represented both borrowers and lenders with respect to the negotiation and documentation of a wide variety of commercial loans, including business acquisition loans, equipment loans, and line of credit loans.
  4. Securities. We regularly represent clients in connection with both public and private offerings of securities, including Initial public offerings, follow-on public offerings, and secondary public offerings (i) private placements; (ii) registered exchange offerings; and (iii) offerings of interests in master limited partnerships and other hybrid entities. We also advise our public company clients on the requirements of applicable securities laws and regulations, including the Securities Exchange Act of 1934 and the Sarbanes-Oxley Act. For example, we review and prepare Forms 10-K, 10-Q, and 8-K filings, as well as proxy statements and other shareholder meeting materials.
  5. Mergers and Acquisitions. We are very experienced in representing clients regarding all types of mergers and acquisitions, both large to small and from simple to extremely complex. Our services typically include (i) advising boards of directors, special committees and in-house counsel with respect to acquisition issues; (ii) drafting and negotiating the applicable asset purchase, stock purchase, or merger agreements; (iii) preparing filings under applicable securities laws; (iv)
